FX.co ★ International Game Technology Announces Expiration Of Waiting Period Under HSR Act

International Game Technology plc (IGT) announced on Thursday that the waiting period mandated by the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (as amended) has concluded. This development pertains to the previously publicized transaction in which IGT's Gaming & Digital segment and Everi Holdings Inc. (EVRI) will be concurrently acquired by a newly established holding company. This holding company will be owned by funds managed by affiliates of Apollo Global Management, Inc. (APO).

The designated waiting period under the HSR Act ended at 11:59 p.m. ET on November 20, 2024.

This expiration marks a significant milestone necessary for the transaction’s completion, anticipated to be finalized by the end of the third quarter of 2025. The deal is still contingent upon other conditions and requires additional regulatory approvals.
