IFF to merge with DuPont's nutrition unit

In the global food and beverage market, changes are coming. International Flavors & Fragrances Inc, an American company producing cosmetic actives, has agreed to merge with DuPont Inc. The new company is ready to enter the market and become its new leader.

The manufacturer of cosmetic actives has announced that it would merge with DuPont Inc's Nutrition & Biosciences unit. The deal is valued at $26.2 billion.

If the purchase is successful, the combined enterprise worth $45.4 billion will hit the market becoming a key player in high-value ingredients and solutions, representatives of IFF and DuPont point out. The deal would give DuPont shareholders 55.4% of the new company's shares, while their partner, IFF, would get 44.6%. The transaction is projected to be completed by the first quarter of 2021. After that, DuPont will get a one-time cash payment of $7.3 billion.

According to analysts, the merger of the two companies will create a global leader in the food and beverage, home and personal care, as well as health and wellness markets.

According to preliminary estimates, the new company’s revenue will exceed $11 billion, and pretax earnings (EBITDA) will amount to $2.6 billion. Three years after the merger, the combined company's income may reach about $300 million, experts say.
